These terms apply to quotations, orders and sales of goods by Fujian Kaivoy Technology Co., Ltd.. They apply unless we have signed a separate contract with you, in which case that contract prevails where the two differ.
Please read them before placing an order. If you do not accept them, tell us before you confirm, because placing an order means you accept these terms.
1. Definitions
“We”, “us” and “KaiVoy” mean Fujian Kaivoy Technology Co., Ltd.. “You” and “buyer” mean the company or person ordering. “Goods” means the products, spare parts and documentation we supply. “PI” means our proforma invoice. “Incoterms” means the Incoterms 2020 rules published by the International Chamber of Commerce.
2. Quotations and how a contract is formed
- A quotation is an invitation to order, not a binding offer, and is valid for 15 days unless it states otherwise. Prices may change after that, mainly because steel, freight and exchange rates move.
- A contract is formed only when (a) we issue a PI or contract, (b) you sign or confirm it in writing, and (c) the agreed deposit reaches our account. Any earlier email, message or catalogue entry is preparatory.
- Information on this website, including dimensions, weights, load ratings and photographs, is indicative. The binding specification is the one written on the signed PI or on the drawing you approved.
- Changes requested after confirmation may change price and lead time; we will confirm any change in writing before producing it.
3. Prices and payment
- Prices are stated in the currency of the PI, normally USD or EUR, and are exclusive of bank charges unless the PI says otherwise.
- Payment terms are those stated on the PI. Where a deposit applies, production starts when the deposit is received and cleared.
- Each party bears its own bank charges. Amounts received net of charges are treated as short-paid.
- We may suspend production or shipment if an invoice is overdue, and may charge storage costs for goods held because of late payment or late shipping instructions.
4. Specifications, drawings and interface responsibility
Attachments and quick couplers must match the carrier machine. You are responsible for confirming the interface standard, pin diameter, pin spread, dipper width and hydraulic flow of the machine the product will be fitted to. Where you send a drawing or measurements, we manufacture to that approved drawing. Where a fitment error arises from information you supplied, replacement or modification is chargeable; where it arises from our departure from the approved drawing, we correct it at our cost.
Modification of the goods, welding onto them, or fitting them to a machine outside the stated specification voids the warranty for the affected part.
5. Intellectual property
Drawings, models, catalogues, photographs and technical documents we provide remain our property. You may use them to evaluate and use the goods, but not to manufacture, copy or have them manufactured by a third party. Brands and trademarks mentioned on this website belong to their respective owners, and reference to a machine brand indicates compatibility only; it does not imply that the goods are original parts of that brand.
6. Delivery, risk and title
- Delivery terms follow the Incoterms rule stated on the PI, for example FOB Shanghai or CIF Rotterdam.
- Risk passes as set out in that Incoterms rule. Title passes when we have received payment in full.
- Dates we give for readiness, shipment or arrival are estimates made in good faith unless the PI states that a date is fixed. Production slots, vessel schedules and customs inspections are outside our control.
- Where the agreed term is DDP or DAP, the price is calculated for the destination and scope written on the PI. A change of destination, consignee or scope (for example additional unloading or inland transport) is chargeable.
7. Inspection, warranty and claims
- Warranty period: 12 months from the date of arrival, unless the PI states a different period.
- Warranty covers defects in material and workmanship under normal use within the rated specification. It does not cover wear parts (teeth, cutting edges, pins, bushes, seals, hoses), consumables, cosmetic change, or damage from misuse, overloading, modification, improper installation or accident.
- Claims must be notified in writing within 7 days of arrival, with photographs or video, the packing list and, where relevant, the container or seal number. Late claims can still be raised for hidden defects that could not reasonably be found on inspection.
- Our obligation is, at our option, to repair, replace or credit the defective goods. We may ask for the part to be returned or for it to be scrapped locally with photographic evidence.
- Warranty repairs do not extend the warranty period of the whole goods; the repaired or replaced part carries the remainder of the original period.
8. Limitation of liability
To the extent permitted by law, our total liability arising from an order is limited to the invoiced value of the goods concerned. Neither party is liable for indirect or consequential loss, including loss of profit, loss of production, downtime, penalty under a third-party contract, or loss of goodwill. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.
9. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, war, civil unrest, government action, sanctions, port closure, carrier failure, power shortage or material shortage. The affected party must notify the other promptly, and if the event continues beyond 90 days either party may cancel the affected part of the order without penalty, with goods already produced paid for at cost.
10. Compliance, sanctions and export control
- You confirm that the goods are bought for lawful civil use and will not be re-exported in breach of applicable export control or sanctions rules.
- We may decline, suspend or cancel an order where doing otherwise would breach sanctions, export control, customs or anti-money-laundering rules, or where the end user or end use cannot be verified.
- You are responsible for obtaining any import licence, permit, phytosanitary certificate or product registration required in the destination country, and for complying with local labelling and safety rules.
- Where a destination requires an import permit or inspection that is not obtained, the resulting storage, return freight or abandonment costs are for your account.
11. Governing law and disputes
These terms are governed by the laws of the People’s Republic of China, excluding its conflict of law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties will first try to resolve any dispute by negotiation for 30 days from written notice. If that fails, the dispute is submitted to the competent people’s court of Longyan, Fujian, China. Nothing prevents either party from applying for interim relief.
12. General
- If one provision is held unenforceable, the rest remains in force.
- A failure to enforce a right is not a waiver of it.
- You may not assign the contract without our written consent; we may assign it to an affiliate on notice.
- Notices are valid if sent to the email address on the PI and confirmed as received.
